Contracts and Negotiations
Contracts are agreements, either written or oral, between two or more parties who wish to transact business. In the course of conducting business, most contracts will be on a simple or routine basis and legal advice may not be needed.
However, there are non-routine contracts which should be agreed to only with the advice of your attorney. These will usually be contracts for a lease or purchase of a building, the purchase of a business or the sale of a business, and other similar transactions. Usually in these cases, the terms of the contract will need to be negotiated so that you do not wind up in a situation in which you will not have the rights and abilities you thought you had.
How we can help you
Because of Bill’s experience in both business and legal matters, he is able to guide you in the negotiation of contracts. There will be times when you are adamant about certain conditions being met, and there will be times when you would like to have something, but that issue is not a deal-breaker.
Whether we draft the agreement or we review an agreement drafted by someone else, we will sit down with you to determine exactly what you need to accomplish. We will explain the terms of the contract to you in plain English. We will also explain the legal implications of the various terms included in the contract.
Of course the final decision of what is to be included in the contract is your choice. But we will give you the information needed to make a proper decision, and we will suggest alternatives which may help you get what you want.
A contract is an agreement between different parties, so we always, if at all possible, try to create a win-win situation so your business transaction will go as smoothly as possible.
